1. Purpose of the Policy

This Payment Policy defines the terms of billing, payment, collection, and termination applicable to subscriptions and commissions related to the use of the Nereva platform. It forms an integral part of the contractual terms applicable to all users holding an active account, whether subscribed to the Essential, Business, or Unlimited plan.

2. Subscription Billing

The fixed subscription fee is invoiced in advance on the anniversary date of the initial subscription. Payment is made exclusively by debit card, based on the information provided by the customer at the time of registration. The subscription renews automatically unless terminated under the conditions set forth in Article 6. This provision applies to the Business and Unlimited plans. Any started billing period is fully due. Invoices are sent electronically to the email address provided in the client account. The client is solely responsible for the validity and regular updating of this address. In case of failed payment, Nereva may suspend access to the platform immediately until the payment issue is resolved.

3. Commission Billing

Commissions related to transport services carried out via the platform are billed at the beginning of each month, based on operations recorded during the previous month. This billing applies to customers subscribed to the Essential and Business plans. Customers on the Unlimited plan are not subject to such billing, as commissions are included in their monthly subscription. Commission payments must be made by bank transfer within fifteen (15) calendar days from the invoice date. In case of late payment, the provisions of Articles 4 and 5 shall automatically apply.

4. Late Payment

Any late payment shall automatically incur default interest at an annual rate of five percent (5%). No prior formal notice is required to trigger the accrual of such interest. Each payment reminder sent by Nereva will result in a flat fee of twenty Swiss francs (CHF 20.–). Nereva reserves the right to immediately suspend all or part of the services, without compensation, until the outstanding payment is settled.

5. Debt Collection

If payment of an invoice is not settled within fifteen (15) calendar days following its due date, Nereva reserves the right to transfer the claim to a private collection agency, initiate legal proceedings, or, where applicable, assign the claim to a third party specialized in commercial debt recovery. In all cases, the total costs generated by these procedures including default interest, reminder fees, collection charges, and any legal or attorney fees will be fully invoiced to the defaulting customer. Additionally, Nereva may suspend or restrict access to the services until the debt is paid in full, regardless of any ongoing recovery procedure or debt assignment.

6. Subscription Termination

The customer may cancel their subscription at any time via their personal account or by providing written notice. Termination will take effect at the end of the current monthly billing cycle. No refund will be issued for the unused portion of a started subscription period. The customer remains liable for all amounts due at the date of termination, including any commissions not yet invoiced. Nereva reserves the right to terminate a subscription at any time, without justification, subject to a seven (7) business day notice. Notification will be sent electronically. In cases of serious breach, fraudulent use, violation of these terms, or attempts to compromise the integrity of the service, Nereva may proceed with immediate termination without notice or compensation.

7. Refunds

No refunds shall be granted for partially used subscription periods, service suspensions due to non-payment or contractual breach, or voluntary cancellation by the customer. In the event of a clear and demonstrable error attributable to Nereva, the customer may file a complaint within fourteen (14) days of the disputed invoice date. Any request will be reviewed without obligation of reimbursement by Nereva.

8. Policy Updates

Nereva reserves the right to amend this policy at any time. Any significant changes will be communicated to customers at least thirty (30) days before taking effect. In case of disagreement, the customer may terminate their subscription before the effective date of the new terms, in accordance with Article 6. If no such action is taken, the new terms will be deemed accepted.

9. Language

This Payment and Subscription Policy may be translated into other languages for convenience. However, in the event of any discrepancy in interpretation, contradiction, or dispute, only the French version shall be legally binding and shall prevail over any other version.

10. Contractual Integration

This Payment Policy constitutes a contractual annex to Nereva’s General Terms of Use. It applies to all active and future subscriptions unless an express written waiver is granted and signed by an authorized representative of Nereva SA.
